Yes, getting shares of unlisted companies before the IPO is possible. Until a few years ago, we could get such shares through individual shareholders (promoters or employees). But now there are multiple online platforms where we can purchase unlisted shares. Some of the shares that I have seen on these portals are - Swiggy, Oyo, Bira91, Boat, Chennai Super Kings, Tata Capital, NSE, SBI Funds, HDFC Securities, Waaree Energies, PharmEasy, Religare, and many more.

I have invested in unlisted shares using a couple of platforms - precize and incredmoney. Many more platforms provide this facility as well. Usually, you should be able to see your shares in your NSDL or CDSL accounts within 5 days of the purchase. I do not endorse or recommend any platforms for this. Please assess the risks properly and consult a financial advisor before investing in unlisted shares.

Bonus tip - one way to find out if a company is about to go for IPO is by checking if they have filed for DRHP (Draft Red Herring Prospectus). DRHP is a document a company that intends to go public files with the Securities and Exchange Board of India (SEBI). Usually, companies go for IPO soon (within 1-2 years) after filing this.

PS - Pre-IPO or unlisted shares would have a 6-month lockup after the IPO. Unlisted shares can be highly volatile and illiquid. Unlisted shares can usually be more risky than listed shares in the stock market. Even if you want to invest in such shares, it’s ideal to have a long-term mindset of at least 2-4 years while investing.

Taxation:
1. Selling pre-IPO - 24+ months holding period LTCG 12.5%, less than 24 months income slab taxation.
2. Selling post-IPO - 12+ months holding period LTCG 12.5%, less than 12 months STCG 20%.
