Pros:
more single-player races available (over 160 races), PC / Xbox 360: 120 races.
features tournament-like races, where you will be awarded with a new car.
many club-races which rewards you with free upgrades or a new car.
smarter police, even it can be annoying over the time.
features difficulty settings for each race to make more cash.
the time limit for renting a car has been extended to 30/60 minutes instead of 10/20 minutes.

No delivery / hitchhiker missions
no character selection & customization
missing of certain cars such as Ferraris, Maseratis, Lexus, and some models of different makes
It doesn't feature manual transmission
The Race Editor has been removed
