The Provider warrants and guarantees, through execution of this permission agreement that, it:

is legally authorized to enter this agreement,
that the aforementioned content does not contain third party copyrighted material, or material that is subject to other third party proprietary rights that may impact this permission agreement, and
that the Provider shall indemnify and forever hold harmless Promoter over any and all instances of conflicting ownership of any material found to be infringing on any and all parties’ rights.
