In this 1-Minute Attorney Tip, California HOA attorney and industry expert Michael Kushner explains the agenda and notice rules that HOA boards must follow under the Davis-Stirling Act—and what happens if they don’t.

Boards must give notice of open board meetings—including the agenda—at least 4 days in advance. For executive session meetings, the notice period is at least 2 days, though most boards hold those sessions on the same day as the open meeting.

Agendas must clearly list the items to be discussed or acted upon. Boards generally cannot take action on any item that isn’t listed, unless one of three exceptions applies:

✅ An emergency situation requiring immediate action.
✅ A carryover item from a meeting held in the last 30 days.
✅ A matter that arose after the agenda was posted, requiring a two-thirds board vote.

These rules protect transparency and ensure homeowners are notified and included in the HOA’s decision-making process.
