Insiders of the company have subscribed for 50% of the offering and no finder¶s fees were paid as part of this private placement. The private placement is subject to the approval of the Canadian Securities Exchange and the securities will be subject to a four month and one day hold period under securities laws. The Company intends to use the net proceeds from the private placement to maintain its portfolio of projects as well as general working capital.
