Ahh, the Phantom, one of my favorite battles. There's always a team member depending on you to stop the clock and save them from a permanent KO. I love that feeling of purpose. Anyways... xD

The Phantom's Spell

The Phantom starts the battle by casting a spell on one of your teammates. After the spell is cast, the clock will start moving. After twelve strokes of the clock, the teammate is KO'd for the remainder of the battle without any hope of revival. There will be blue flames on the clock numbers (1-12) to help you keep track at how the Phantom's spell is progressing and how far your affected teammate is from a permanent KO.

The main objective of the battle is to cast spells on the Phantom's ball on its lower body. Cast Fire on it when it's red, cast Blizzard when it's blue, and cast Thunder when it's yellow. When it's white, use a physical attack. That is your only means of damaging this formidable boss. The Phantom also likes to summon a string of energy that follows you and leaves huge dents in your HP (possible OHKO). When this happens, fly to a different clock face; the string of energy will destroy itself. The Phantom also likes to slash its claws at you. This does a lot of damage but it's easy to heal afterwards.

Leaving a Stopra and Curaga in your Shortcut menu is absolutely recommended. Using Lady Luck or a keyblade that enhances magic is also recommended. Equip Sora with magic enhancing accessories and fill the party up with Ethers and/or Elixirs. Goofy's MP Gift is a MUST. Also, make sure you customize Goofy and Peter Pan's AI to make them use less MP (Donald is not helpful in this battle).
