The Companies (Amendment) Bill, 2020 passed by both Houses of Parliament, is yet another attempt of the Government to further decriminalize and rationalize certain offences under the Companies Act, 2013, in case of defaults which can be determined objectively and which otherwise lack any element of fraud or do not involve larger public interest, in the form of reduction in penalty, omitting punishment with imprisonment and limiting to fine only, omitting certain penal provisions and bringing some more offences within the in-house adjudication framework. Apart of decriminalization, the Chapter on Producer Companies has now been incorporated in the Act itself besides changes in definition of listed company, CSR provisions, listing of securities abroad, periodical returns by unlisted companies, remuneration of IDs and NEDs in the event of inadequacy of profits, etc.
