Seaver v. Ransom | 120 N.E. 639 (1918)

People often make deals to benefit someone else. A parent may make a contract to benefit a child. A debtor who owes a creditor may make a deal with a third party to benefit the creditor and address the debt. But even though the third-party beneficiary isn’t a party to the deal, can he or she seek to enforce a contract made for his or her benefit? The New York Court of Appeals considered that question in the 1918 case of Seaver versus Ransom.

Judge Samuel Beman and his wife were elderly, and Mrs. Beman was dying. He drafted a will for her, pursuant to her instructions. The will gave $1,000 to Mrs. Beman’s beloved niece, Marion Seaver. Mrs. Beman also owned their home, which she willed to her husband for the rest of his life. She left various amounts to other family members and bequeathed the remainder of her estate to charity.

When Judge Beman read the will to his wife, she said she wanted to leave the house to Seaver. But Mrs. Beman was afraid she might not survive long enough for her husband to rewrite it. So he suggested that, if she would sign the will as it was, he’d leave to Seaver the value of the house in cash in his will. Mrs. Beman agreed and signed her will. But when Judge Beman died, his will didn’t make any provision for Seaver.

Seaver sued Matt Ransom, the executor of Judge Beman’s estate. The trial court granted Seaver a judgment for $6,000, the value of the house. The Third Department Appellate Division affirmed, and Ransom appealed to the New York Court of Appeals, the highest court in New York State
