Mandatory for Listed company or a Public company with paid up share capital above 10 crores to appoint a whole time KMP
(Companies Appointment & Remuneration of Managerial Personnel : Rule 8)

Mandatory to appoint whole time CS if company is not covered under Rule 8 and has paid up share capital above 5 crores
(Reference to Rule 8(a) which talks about the Company Secretary

Appointment of KMP shall be at a Board Meeting only

-He should be KMP in one company only (or in subsidiary of such company

No restriction on KM being a Director elsewhere

Managing Directorship in not more than one other company

Vacancy of KMP to be filled up in BM only, and within 6 months
