The case involves a sale and leaseback agreement of Timber Structures Inc. to a tax-exempt entity that was invalidated by a 1954 revenue ruling. The parties agreed to rescind the transaction subject to approval by the Internal Revenue Service, but the Institute argued against rescission of the contract on the ground of "commercial frustration" or "supervening impossibility of performance." The court found that the doctrine of commercial frustration did not apply and that the parties did not intend for the Mayers to assume the risk of an adverse tax ruling. The court also found that the delay in filing the lawsuit did not constitute laches.
