Confidentiality is paramount for business owners to maintain during the sale process. If it becomes known that a business is for sale it can be destructive to the key relationships the business has in place among its employees, creditors, competitors, and customers. Weakened relationships can deteriorate the company's position and thereby make it less valuable. Competitors can also use an impending sale to attempt to discredit your business and its position in the marketplace.
So, just how will the potential sale be kept confidential?
The initial marketing is done with vague descriptions in order to keep your transaction confidential. We will generally only reveal the industry your business operates in, regional geographic location and basic financial indicators to demonstrate the size of the company being marketed. This is done with an initial “Teaser” document sent to the first pool of potential buyers. All potential buyers will be required to sign a non-disclosure agreement prior to receiving any sensitive data. Only a very limited amount of information should be disclosed prior to determining if the potential buyer is both legitimate and capable of completing the transaction. It may be surprising to many of you that breaches of confidentiality can often be traced back to business owners themselves! It is for this reason that we stress the importance of confidentiality in the very beginning, to protect you and your business from adverse effects due to the leaking of sensitive information.
