The Securities Act of 1933 requires any business that offers or sells its securities to register the securities with the SEC or find an exemption from the registration requirement. One such exemption allows a business to sell company stock to a type of investor called an 'accredited investor', a term used for financially sophisticated investors who don't need the same level of protection as the less experienced investors the SEC seeks to safeguard. Accredited investors are individuals with a personal net worth of more than $1 million individually or jointly with their spouse, or individuals with an income that exceeds $200,000 in each of the two most recent years. Also, an accredited investor can be a bank, insurance company, investment company, trust, corporation or partnership with assets of more than $5 million.
