Nepal's Capital Market Faces Major Reform Push from Investors | 5 Investor Demands

Nepal's capital market is at a pivotal juncture as investors have submitted five significant demands to the Ministry of Finance, aiming to overhaul the existing IPO and market policies. These proposals, if implemented, could reshape the investment landscape in Nepal.

Key Investor Demands:
Policy Reforms:
Increase the margin loan ratio from 70/30 to 80/20.
Remove the current cap of NPR 25 crore on individual share loans.
Eliminate the last 15-minute price manipulation during trading hours.
Extend the interest payment deadline from Ashwin to Poush.

IPO System Overhaul:
Abolish the premium and book-building systems; revert to a fixed par value of NPR 100.
Maintain a 51/49 ratio between promoter and public shares.
Restrict IPOs and rights issues for companies with negative net worth.

Market Liquidity & Institutional Participation:
Introduce market makers and stock dealers.
Allow banks and financial institutions to engage in short-term trading using core capital.
Actively involve institutional investors like the Social Security Fund, Employees Provident Fund, and Citizens Investment Trust.
Permit Non-Resident Nepali (NRN) investors unrestricted access to the secondary market.

Founder Shares & Trading System Reforms:
Assign separate ISIN numbers for founder and public shares.
Lock at least 25% of founder shares permanently.
Reduce broker commissions by at least 50%.
Lower DP (Depository Participant) fees for investors.
Implement an "All or None" (AON) order system for buy/sell transactions.

Taxation & Governance Enhancements:
Treat capital gains tax as a final tax.
Allow offsetting of trading losses against capital gains.
End political appointments in regulatory bodies like SEBON; appoint based on merit.
Establish a permanent "Rapid Action Team" to combat illegal market activities.

These demands have been formally submitted to a task force led by Rupesh KC, comprising Sharan Adhikari (Nepal Rastra Bank), Niranjan Phuyal (NEPSE), and Sharad Niroula (Ministry of Finance). The task force is expected to review and provide recommendations within the next three months.
