The purpose of the Statement of Information is to keep the State updated with your LLC's contact information. This is also a legal requirement to keep your LLC in good standing with the state.

The Statement of Information includes your LLC Name, your Secretary of State File Number, the LLC address, the names and addresses of the member(s), your Registered Agent information and a brief description of your business.

Before beginning this Lesson, please make sure that you have received your stamped and approved Articles of Organization back from the State. Otherwise, you will not have the information you need to prepare this document.

Mail your Statement of Information and your check or money order for $20 made payable to the “Secretary of State” to:

-- DUE DATES --
Initial Statement of Information: due within 90 days of the approval of your LLC.

Ongoing Statements of Information: due every two years, by the anniversary date of the approval of your LLC.

The anniversary date is the date the Articles of Organization was stamped and approved by the State.

Failure to file on time will result in California charging a late fee of $250 and they will eventually dissolve (shut down) your LLC if you ignore this requirement.
