📢 Important Points to Know about RoC Compliances and Related Filings 📋

1️⃣ RoC Compliances are Compulsory: Regardless of Transactions
RoC (Registrar of Companies) compliances are mandatory for all companies, irrespective of whether any transactions have taken place or not. These compliances ensure that companies fulfill their legal obligations and maintain transparency in their operations. It is crucial to adhere to RoC requirements to avoid penalties, legal consequences, and maintain good corporate governance.

2️⃣ ADT-1 Auditor Appointment
ADT-1 refers to the form prescribed by the Ministry of Corporate Affairs (MCA) in India for the appointment of auditors. Every company, except small companies, must appoint an auditor within 30 days from the date of incorporation or at the first Annual General Meeting (AGM). The appointment of the auditor needs to be intimated to the RoC through the ADT-1 form.

3️⃣ Commencement of Business
Commencement of Business is an important step for companies, especially in India. As per the Companies Act, 2013, a company cannot commence business activities until it obtains a Certificate of Commencement of Business. To obtain this certificate, companies need to file the necessary documents, including the declaration of compliance, with the RoC within a specified timeframe after incorporation.

4️⃣ AOC-4 and MGT-7 Filings
AOC-4 and MGT-7 are two important annual filings required by companies in India to comply with RoC regulations:

AOC-4: This form is used for filing the financial statements, including the balance sheet, profit and loss account, and other related documents, with the RoC. It provides an overview of the company's financial performance and is filed within 30 days from the AGM.

MGT-7: MGT-7 is the form for filing the Annual Return of a company. It contains information about the company's shareholders, directors, changes in share capital, and other statutory details. The MGT-7 form must be filed within 60 days from the AGM.

Both AOC-4 and MGT-7 filings are crucial to ensure transparency and compliance with legal requirements. Failure to file these forms within the specified timelines may lead to penalties and legal repercussions.
