The Easy Exit Scheme (EES) under the Securities and Exchange Commission of Pakistan (SECP) allows dormant or defunct companies to be struck off from the register.
The process is governed by Section 426 of the Companies Act, 2017 and the Companies (Easy Exit) Regulations, 2014.
Procedure for Easy Exit in SECP:
Eligibility Check
The company must be dormant or non-operational.
No outstanding liabilities, dues, or legal proceedings against the company.
All tax returns and compliance requirements with FBR and PRA must be fulfilled.
Board Resolution
The Board of Directors must pass a resolution for voluntary winding up through the Easy Exit Scheme.
The resolution should state that the company has no assets or liabilities.
Application to SECP (Form E-2) Now online also available in eZ SECP portal.
The company must submit Form E-2 (Application for Strike Off) along with:
Affidavit from directors confirming no liabilities.
Indemnity bond to indemnify any future claims.
Latest audited or management accounts (if available).
Bank closure certificate (if applicable).
Tax clearance certificate from FBR.
Public Notice by SECP
SECP will publish a notice in its official website or newspapers, inviting objections (if any) within 90 days.
Final Strike-Off Order
If no objections are received, SECP will approve the strike-off and remove the company from the register.
The company will be considered dissolved.
