The buyer needs to know about most importantly, liabilities that the buyer might be undertaking. For example, are there toxic wastes on the site of the business that's being purchased? Are there threatened litigation, or is there current litigation that's involving the business, that the buyer will need to be involved in after the sale of the business? Liabilities that are important, that the buyer would want to know about in valuating the business, understand will need to be disclosed early on in the relationship, before the sale occurs, so that the buyer has a good understanding of what he or she is actually buying.
