Nigeria's Corporate Affairs Commission (CAC) has mandated that all Point of Sale (PoS) operators register their businesses by a January 1, 2026, deadline, after which unregistered operators will face legal action, including the seizure of their terminals and potential shutdown.

Key Details of the Directive
Mandatory Registration: All PoS operators, including sole agents, super agents, and aggregators, must formalize their business status with the CAC in compliance with the Companies and Allied Matters Act (CAMA) 2020 and the Central Bank of Nigeria's (CBN) Agent Banking Regulations.

Enforcement: Starting January 1, 2026, security agencies are directed to begin nationwide monitoring and enforcement, which includes seizing unregistered PoS terminals and shutting down non-compliant operations.

Sanctions for Fintechs: Fintech companies that enable unregistered operators will be placed on a watchlist and reported to the CBN.

Purpose: The measure is part of a broader government effort to sanitize the rapidly growing PoS industry, improve consumer protection, enhance traceability of transactions, and curb fraud and financial crimes often linked to unregistered operations.

Previous Deadlines: Earlier deadlines of July 7, 2024, and September 5, 2024, were extended due to low compliance rates.

The CAC has indicated this latest deadline is final.

Operators are advised to register immediately to avoid service disruption.
