Section-8 Companies are the most advance, most preferred approach of setting up NGOs giving you the best corporate image and mileage particularly when the Control, Ownership & Management of the NGO is desired to be retained.

In case of a Section-8 Non-Profit Making Company on or during the incorporation of the Company, a License to operate as a Non-Profit Making Company is required to be applied and obtained from the Regional Director (RD), Ministry of Corporate Affairs.

With no choice in hand, the Ministry of Labour shall allot you mandatorily the EPF and ESIC Registration Numbers and Certificates when you go for a Section-8 Licensed Company Registration.

List of documents required for incorporating a Section-8 Company NGO

1. At-Least 2 Suggested Names of the Proposed Company in order of their preference
2. Prepare a list of complete names of all Proposed Directors in the Proposed Company
- Name:
- DIN:
- Occupation:
- Educational qualifications:
- List of Indian Companies, where they are already Directors
3. Kindly mention the District and State where the Proposed Company shall have its registered Office in India.
Note: This is extremely important to decide at the outset as all future territorial jurisdictions [tax/ civil/or all other proceedings] of the company shall be decided based upon this address declared today.
4. Please state in your own language at-least 3 Main objects which the Proposed Company wants to achieve after its incorporation?
5. What would be the Share-holding Pattern among the shareholders? What do you want- A Company Limited by Shares or A Guarantee or Association Company
6. Quantum of Authorized & Paid-up Share Capital of the Proposed Company.

Note: This is very important as all MCA fee, Stamp Duty etc shall be based upon the Authorized Capital base of the Company.

Suggested List of documents required:
1. Directors Identification Number (DIN) if already having;
2. Digital Signatures (DSCs) of all the Directors if already having;
3. Latest Passport Size Photos of each Subscriber and Directors;
4. Self-Attested Copies in respect of each and every Subscribers/Directors-
4.1. PAN Cards
4.2. Aadhaar Cards
4.3. Election Cards/ DL
4.4. Latest Bank Statements showing Last Transactions and Front page showing your complete name and address (Most Updated)
5. Proof of Residence in respect of the premises whereat the proposed company shall be registered + No-Objection Certificate from the Landlord/Owner at whose address the Company shall be registered will be required.
6. Projections of the NGO` activities for the next 3 years.
7. Various Affidavits duly notarized/ apostilled, to be executed by the Subscribers based upon our Scheme of Drafting.

Please note that once after receiving all above information we shall be examining & drafting various documents and shall be requiring signed affidavits, Signed Subscribers Sheets etc. from the promoters/ subscribers.
