This session from Transaction Advisors M&A Conference at the University of Chicago looked at sell-side transactions involving strategic and financial buyers from outside of the U.S. Consideration was given to appropriate buyer diligence, variations in deal terms to address closing conditions, termination rights and remedies, and other challenges that are unique to transactions that involve a foreign buyer or investor.

The panel, featuring Robert Monahan, Corporate Development at Akorn Inc, Deidra Gold, former General Counsel at Wolters Kluwer, Mike Lindemann, Managing Director at Robert W. Baird, and Zachary Judd, Partner at Latham & Watkins also looked at methods for competing against foreign bidders.
