Columbia/HCA Healthcare Corporation was being investigated by the Department of Justice for possible Medicare and Medicaid fraud. They conducted internal audits but refused to provide them based on attorney-client privilege and the work product doctrine. After a change in corporate control, they agreed to produce some audits to the government in exchange for confidentiality. Columbia/HCA paid an $840 million fine to the government as a result of the fraud investigation. Private insurance companies and individuals also filed lawsuits alleging overbilling. The district court granted a motion to compel Columbia/HCA to produce the audits to the private payors, but Columbia/HCA claimed privilege. The court had to determine whether disclosing the audits to the government waived the privilege for other adversaries.
