Conflicts of interest are a critical measure of a legal system's effectiveness. While Confucius's doctrine of the middle ground advises avoiding extremes, this approach presents two challenges: the necessity of sometimes taking an extreme stance and the difficulty of defining the "middle ground." The U.S. legal system addresses these issues by offering three solutions to manage conflicts of interest.

(1) Disclosure and Consent The first solution is disclosure, which requires parties to reveal any potential conflicts of interest. In many cases, this is followed by written consent, where all parties formally agree to proceed despite the conflict. This approach promotes transparency and accountability, contrasting sharply with systems where conflicts are often concealed.

(2) Balancing Rules with Exceptions The second solution balances general rules with specific exceptions and exemptions. This allows the legal system to apply broad principles while maintaining the flexibility to address unique circumstances. Notable examples include the "fair use" doctrine in copyright law and official immunity for government employees, which prevent rigid rules from causing unjust outcomes.

(3) Promoting Competition. The final solution is to foster competition, which gives all parties a fair chance to succeed. This principle is fundamental to the U.S. political system, where competing ideas and interests are debated publicly, and to its economic system, where market competition is encouraged. This approach allows conflicts to be managed through a dynamic process of engagement rather than through a single, rigid decision.
